Zenas BioPharma, Inc. (NASDAQ:ZBIO)

Lifshitz Law PLLC announces investigation into possible securities laws violations and/or breaches of fiduciary duties in connection with allegations that the Company made materially false and/or misleading statements and/or failed to disclose to investors material information. On August 22, 2024, Zenas BioPharma filed with the SEC a Registration Statement on Form S-1, which in combination with a subsequent amendment on Form S-1/A, and which was declared effective by the SEC on September 12, 2024, would be used for the IPO. In the IPO, Zenas BioPharma sold 13,235,294 shares at $17.00 per share. Specifically, the registration statement allegedly contained false and/or misleading statements and/or failed to disclose that: 1) Zenas BioPharma materially overstated the amount of time it would be able to fund its operations using existing cash and expected net proceeds from the IPO; and (2) as a result, the Company’s public statements were materially false and misleading.

If you are a ZBIO investor, and would like additional information about our investigation, please complete the Information Request Form or contact Joshua Lifshitz, Esq. by telephone at (516)493-9780 or e-mail at info@lifshitzlaw.com.

Ibotta, Inc. (NYSE:IBTA)

Lifshitz Law PLLC announces investigation into possible securities laws violations and/or breaches of fiduciary duties in connection with allegations that the Company made materially false and/or misleading statements and/or failed to disclose to investors material information. Allegedly, statements made in the Registration Statement issued in connection with Ibotta’s April 18, 2024, initial public offering were false and/or misleading when made because they did not properly warn investors of the risks concerning Ibotta’s contract with The Kroger Co. Kroger’s contract was at-will, and Ibotta failed to warn investors that a large client could cancel their contract with Ibotta without warning. Despite providing a detailed explanation of the terms of Ibotta’s contract with Walmart, there was not a single warning of the at-will nature of Kroger’s contract.

If you are an IBTA investor, and would like additional information about our investigation, please complete the Information Request Form or contact Joshua Lifshitz, Esq. by telephone at (516)493-9780 or e-mail at info@lifshitzlaw.com.
