Second Quarter 2025 Net Sales Growth of 53% -Mattress Firm Combination Ahead of Plan – Direct Sales as a Percent of Net Sales Increased to 66% as Compared to 23% – Raises Financial Guidance for Full Year 2025
Somnigroup International Inc. (NYSE: SGI, “Company”) announced financial results for the secondquarter endedJune30, 2025 and raised financial guidance for the full year 2025.
SECONDQUARTER 2025 FINANCIAL SUMMARY
— Total net sales increased 52.5% to $1,880.8 million as compared to $1,233.6 million in the second quarter of 2024, primarily driven by the inclusion of $948.8 million of Mattress Firm sales, offset by the accounting elimination of $263.5 million of sales from the Tempur Sealy North America segment to the Mattress Firm segment.
— Gross margin was 44.0% as compared to 42.0% in the second quarter of 2024. Adjusted gross margin(1) was 44.2% as compared to 42.0% in the second quarter of 2024.
— Operating income increased 3.8% to $179.9 million as compared to $173.3 million in the second quarter of 2024. Adjusted operating income(1) increased 24.3% to $224.4 million as compared to $180.6 million in the second quarter of 2024, primarily driven by the inclusion of Mattress Firm.
— Net income decreased 6.7% to $99.0 million as compared to $106.1 million in the second quarter of 2024. Adjusted net income(1) increased 1.3% to $113.1 million as compared to $111.7 million in the second quarter of 2024.
— Earnings per diluted share (“EPS”) decreased 21.7% to $0.47 as compared to $0.60 in the second quarter of 2024. Adjusted EPS(1) decreased 15.9% to $0.53 as compared to $0.63 in the second quarter of 2024.

Business Segment Highlights
The Company's business segments include Tempur Sealy North America, Tempur Sealy International and Mattress Firm. Corporate operating expenses are not included in any of the business segments and are presented separately as a reconciling item to consolidated results.
Mattress Firm net sales were $948.8 million for the secondquarterof2025. All Mattress Firm sales are reported through the direct channel.
Mattress Firm gross margin was 35.6% for the secondquarterof2025. Adjusted gross margin(1) was 35.7% for the secondquarterof2025.
Mattress Firm operating margin was 6.7% for the secondquarterof2025. Adjusted operating margin(1) was 7.8% for the secondquarterof2025.
Tempur Sealy North Americanet sales were impacted by the accounting elimination of $263.5 million of sales to Mattress Firm for the period. Net sales decreased$340.0 million to$638.4 millionas compared to$978.4 millionin thesecondquarter of 2024. Net sales through the wholesale channel decreased $320.8 million to $534.0 million as compared to the second quarter of 2024, primarily driven by a 30.8% decline from the accounting elimination of $263.5 million and a 6.7% decrease in sales due to a customer's acquisition which foreclosed $57.3 million of distribution to this customer. Net sales through the direct channel decreased $19.2 million, or 15.5%, to $104.4 million as compared to thesecondquarter of 2024, primarily driven by a decrease in sales from the divestiture of Sleep Outfitters.
North America gross margin was 54.5% as compared to 40.2% in the second quarter of 2024. Adjusted gross margin(1) improved 1480 basis points to 55.0% as compared to 40.2% in the second quarter of 2024. The improvement was primarily driven by the elimination of sales to Mattress Firm and operational efficiencies. These improvements were offset by expense deleverage and product launch costs.
North America operating margin was 20.4%as compared to 18.4% in the second quarter of 2024. Adjusted operating margin(1) improved 430 basis points to 22.7% as compared to 18.4% in the second quarter of 2024. The improvement was primarily driven by the improvement in gross margin, partially offset by investments in advertising.
Tempur Sealy Internationalnet salesincreaseda robust 15.0%to $293.6 million as compared to$255.2 millionin thesecondquarter of 2024, primarily driven by the success of new product launches. On a constant currency basis(1), International net sales increased 10.0% as compared to the second quarter of 2024. Net sales through the wholesale channel increased $13.0 million, or 13.6%, to $108.7 million as compared to the second quarter of 2024. Net sales through the direct channel increased $25.4 million, or 15.9%, to $184.9 million as compared to the second quarter of 2024.
International gross margin declined 40 basis points to 48.2% as compared to 48.6% in the second quarter of 2024. The decline was primarily driven by commodity cost inflation.
International operating margin improved 110 basis points to 13.6% as compared to 12.5% in the second quarter of 2024. The improvement was primarily driven by the operating expense leverage.
Corporateoperating expense increased to $53.2 million as compared to $38.9 million in the second quarter of 2024, primarily driven by business combination charges related to the acquisition of Mattress Firm. Adjusted operating expense(1) was $34.4 million as compared to $31.6 million in the second quarter of 2024.
Consolidated Financial Position
Consolidated net income decreased 6.7% to $99.0 million as compared to $106.1 million in thesecondquarter of2024. Adjusted net income(1) increased 1.3% to $113.1 million as compared to $111.7 million in the second quarter of 2024. EPS decreased 21.7% to $0.47as compared to $0.60in thesecondquarter of2024. Adjusted EPS(1) decreased 15.9% to $0.53 as compared to $0.63 in the second quarter of 2024, primarily driven by launch costs related to the new Sealy® product line and a customer's acquisition which foreclosed distribution to this customer, offset by EPS accretion as a result of the Mattress Firm acquisition.
The Company ended the second quarter of 2025 with total debt of $5.0 billion and consolidated indebtedness less netted cash(1) of$4.9 billion. Leverage based on the ratio of consolidated indebtedness less netted cash(1) to adjusted EBITDA(1)was3.56 timesfor the trailing twelve months endedJune30, 2025.
Financial Guidance
For the full year 2025, the Company raised its expectations for adjusted EPS(1) to a range of $2.40 to $2.70. This contemplates the Company's current sales outlook, which includes approximately 11 months of expected Mattress Firm operations, net of intercompany sales, and the previously announced divestiture of Sleep Outfitters and 73 Mattress Firm stores, which closed on May1, 2025.
The Company noted that its expectations are based on information available at the time of this release, and are subject to changing conditions and risks, many of which are outside the Company's control, including the possible imposition of new tariffs or retaliatory tariffs, increases in existing tariffs and other changes in trade policy and regulations and the resulting uncertainty of the macroeconomic environment. The Company is unable to reconcile forward-looking adjusted EPS, a non-GAAP financial measure, to EPS, its most directly comparable forward-looking GAAP financial measure, without unreasonable efforts, because the Company is currently unable to predict with a reasonable degree of certainty the type and extent of certain items that would be expected to impact EPS in 2025.
Dividend Declared
The Company's Board of Directors declared a quarterly cash dividend of $0.15 per share, payable on September5, 2025, to shareholders of record at the close of business on August21, 2025.
Prior Period Recast
Prior period information on the condensed consolidated statements of income has been recast to conform to the current period presentation for the reclassification of certain costs from selling and marketing expenses to cost of sales.
